EzraTree Terms of Service

These Terms of Service (“Terms”) govern your access to and use of EzraTree.com, related domains, web applications, and services provided by Ezra LLC (“EzraTree,” “Ezra,” “we,” “our,” or “us”). By accessing or using EzraTree, you agree to be bound by these Terms and our /privacyPrivacy Policy. If you do not agree, do not use the Services.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” refers to the organization.

1. Definitions

“Services” means the EzraTree web application, websites, software, APIs, documentation, and related features.

“User Content” means any data, text, workflows, files, images, comments, integrations, or materials you submit, upload, or create within the Services.

“EzraTree Content” means the Services and all content we provide (including software, design, UI/UX, graphics, logos, documentation, and text).

2. Eligibility; Accounts

• Eligibility. You must be at least 16 years old to use EzraTree.
• Account Information. Provide accurate, current information when creating your account and keep it updated.
• Security. You are responsible for safeguarding your password and for all activities under your account. Report unauthorized access: mailto:support@ezratree.comsupport@ezratree.com.
• No Shared or Bot Accounts. Accounts must be registered and used by real individuals. Automated signups or “bot” accounts are prohibited.
• Compliance. You must comply with all applicable laws and these Terms.

3. Plans, Pricing, and Billing

• Plans. Free plan and Pro plan at $10/month. Features may vary as listed on EzraTree.com.
• Fees & Taxes. You agree to pay applicable fees and taxes (excluding taxes on our net income).
• Auto-Renewal. Paid subscriptions auto-renew monthly unless canceled before the end of the current billing cycle.
• Payment Methods. By providing a payment method, you authorize us and our payment providers to charge recurring and one-time fees.
• Failed Payments. We may suspend or terminate access for past-due accounts.
• Price Changes. We may change pricing with reasonable advance notice; new pricing takes effect on the next renewal unless you cancel.

4. Refunds

• Satisfaction Guarantee (30 Days). First-time Pro subscriptions and the first 30 days after an upgrade are refundable upon request within 30 days of purchase. Contact mailto:support@ezratree.comsupport@ezratree.com.
• Exclusions. Refunds generally do not apply to renewals, downgrades, or purchases made after trial periods. Policy abuse may result in denial.
• Effect of Refunds. If you refund an upgrade within 30 days, we will revert your account to the prior plan and refund the difference.

5. Use of Services; Restrictions

You agree not to:

• Use the Services for illegal purposes.
• Access or use private APIs except as permitted.
• Transmit malware or harmful code.
• Interfere with or disrupt the Services or networks.
• Copy, reverse engineer, or create derivative works of the Services except as permitted by law.
• Circumvent technical protections or usage limits.
• Use automated scraping or crawling except as permitted by robots.txt or our express consent.

You must not alter another website or app to imply EzraTree affiliation or endorsement. If you connect third‑party integrations, you authorize sharing relevant data to enable the integration and should review each provider’s privacy policy.

6. Intellectual Property; Content

• Ownership. EzraTree Content is owned by Ezra LLC and protected by IP laws. We grant you a limited, non‑exclusive, revocable right to access and use the Services as intended and in compliance with these Terms.
• User Content. You retain rights in your User Content. You grant EzraTree a worldwide, non‑exclusive, royalty‑free license to host, display, process, and transmit User Content solely to provide and improve the Services.
• Feedback. Suggestions or feedback may be used by us without obligation or compensation.
• Aggregated/Anonymized Data. We may use de‑identified, aggregated data derived from Service usage to improve features, benchmarking, and analytics, provided it does not identify you.

7. Service Availability; Backups

• We strive for reliable uptime but may suspend the Services for maintenance, upgrades, or unforeseen events.
• EzraTree is not a backup service. Maintain your own backups of critical data.
• We implement safeguards but cannot guarantee absolute security.

8. Communications; Notifications

• We may send transactional, security, and service‑related communications. You may opt out of non‑essential marketing emails.
• If enabled, you may receive push/SMS notifications and can opt out via settings or instructions provided.

9. Publicity

We may identify your organization’s name and logo as an EzraTree customer on our site and in marketing materials unless you opt out by emailing mailto:legal@ezratree.comlegal@ezratree.com.

10. DMCA & IP Complaints

Report alleged copyright infringement to mailto:legal@ezratree.comlegal@ezratree.com with:

1. Signature of the rights owner or agent;
2. Description of the copyrighted work;
3. Location/URL of the material on our site;
4. Your contact information;
5. A statement of good faith belief; and
6. A statement under penalty of perjury that you are authorized.

We may remove content and/or terminate repeat infringers.

11. Termination; Suspension

We may suspend or terminate accounts at any time for violations of these Terms, risk, legal compliance, nonpayment, inactivity, or misuse of trials/promotions. Upon termination, your right to access the Services ends, and you may lose access to User Content stored in the account.

12. Disclaimers

THE SERVICES AND EZRATREE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND TITLE. WE DO NOT WARRANT UNINTERRUPTED OR ERROR‑FREE SERVICE, OR THAT DEFECTS WILL BE CORRECTED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZRA LLC AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR LOST PROFITS, REVENUE, DATA, OR GOODWILL; OR BUSINESS INTERRUPTION; EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED $100. SOME STATES DO NOT ALLOW CERTAIN LIMITATIONS; THOSE LIMITATIONS MAY NOT APPLY TO YOU.

14. Indemnification

You agree to defend, indemnify, and hold harmless Ezra LLC from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of laws or third‑party rights.

15. Arbitration; Class Action Waiver

• Arbitration. Except for disputes relating to intellectual property or where you opt out, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration under the AAA Consumer Arbitration Rules, governed by the Federal Arbitration Act.
• Venue & Rules. Arbitration will be held in Oregon (virtual hearings permitted). The arbitrator may award damages consistent with these Terms.
• No Class Actions. YOU AND EZRA LLC AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN YOUR INDIVIDUAL CAPACITY, NOT AS A CLASS OR REPRESENTATIVE ACTION.
• Opt‑Out. You may opt out within 30 days of first use by mailing notice to: [Ezra LLC mailing address]. Include your name, account email/username, and a statement that you opt out of arbitration.
• Courts for Excluded Disputes. For IP disputes or if you opt out, you agree to exclusive jurisdiction in state or federal courts located in Deschutes County, Oregon.

16. Governing Law

These Terms are governed by the laws of the State of Oregon, without regard to conflict of laws principles.

17. Changes to Terms

We may update these Terms from time to time. Material changes will be posted on EzraTree.com or via email. Continued use after changes become effective constitutes acceptance.

18. Export; Territorial Restrictions

You may not use or export the Services in violation of U.S. export laws or sanctions. We may limit the Services in certain locations or jurisdictions at our discretion.

19. Miscellaneous

• Entire Agreement. These Terms constitute the entire agreement between you and Ezra LLC regarding the Services.
• Assignment. You may not assign these Terms without our consent. We may assign them.
• Severability. If any provision is unenforceable, the remainder remains in effect.
• Waiver. Our failure to enforce any provision is not a waiver.
